West Virginia Mountain Trail Runners
A Mountain State of Running
As discussed in New Business of the 1/21/21 Meeting: A potential bylaw change was discussed, and it was decided that the Executive Committee would report back to the entire BOD on 4/22/21 with recommended amendments.
The executive committee did meet electronically and came to the consensus of offering the attached bylaw changes (highlighted in yellow). Reminder, any bylaw changes will have to go before the club at the Annual Meeting for approval by vote. The purpose of this recommendation is to have BOD endorsement before moving forward with the bylaw amendment vote at the Annual Meeting.
I believe this is a prudent update to our by-laws and one that I have seen with other non-profit boards. It will require planning on our part to find and transition qualified BOD members.
I think the annual meeting is a great place to bring this change up. What are we changing the highlighted area to?
@asdolin, the highlighted section is the only recommended addition.
I do not believe that we need to make motion to accept. I'm simply looking for a consensus or a board endorsement. In order to have a change to our bylaws, it will require a two-thirds vote of members present at the Annual Meeting.
Looks like a good change to make.
